Quorum Health’s transition to nonprofit status impacts FCMC

Forrest City Medical Center’s parent company, Quorum Health, has announced plans to transition from a for-profit, private equity-backed model to a nonprofit health system. Quorum Health announced in a recent press release that it has entered into a definitive agreement with QKA Health Corporation, doing business as Healthside Partners, to complete the transition pending regulatory approval and customary closing conditions. The transaction is expected to be completed in the fall. The change would affect FCMC and 10 other hospitals owned by Quorum across nine states. According to Quorum Health, the nonprofit structure is intended to create new opportunities for philanthropic support, tax-exempt financing and expanded partnerships while allowing additional reinvestment into local hospitals and patient services. “Forrest City Medical Center has shared information about an agreement to transition to nonprofit status that, if approved, would enable Forrest City Medical Center to operate as part of a nonprofit health system,” said Robert Rupp, CEO of FCMC. “For our community, this would support reinvesting more resources locally and strengthening access to care in the county. Our mission and day-to-day operations remain the same, and there would be no employee changes as part of the transition process.” Quorum Health CEO Chris Harrison said the transition comes as hospitals continue facing increasing financial, operational and regulatory pressures. “This transformation marks a new era for Quorum Health,” Harrison said. “The reality is that our industry is constantly facing growing financial, operational and regulatory pressures. It is becoming increasingly challenging to deliver care and support a strong workforce without pursuing strategic solutions. By becoming a nonprofit, we are strengthening our ability to serve rural communities that rely heavily on government-sponsored programs.” According to the press release, all 11 hospitals will continue operating without interruption and maintain existing relationships with vendors. Officials with Quorum also stated the new nonprofit system plans to retain its current workforce of more than 3,000 employees, including nearly 200 employed physicians and advanced practice providers. Additional goals outlined by Quorum include expanding charity care programs for uninsured and underinsured patients and increasing investment in underserved rural communities. The company also announced plans for more than $300 million in capital investments through 2029, including outpatient expansions, facility improvements and technology upgrades. Quorum said the nonprofit structure could also provide access to additional funding opportunities, including eligibility for the federal 340B Drug Pricing Program and tax exemptions that could support future community health initiatives. Founded in 2016 as a spin-off from Community Health Systems, Quorum Health underwent financial reorganization in 2020 and has since focused on restructuring and growth. Under the proposed agreement, the organization would operate under the newly-formed nonprofit Healthside Partners. Quorum officials said the current executive leadership team, led by Harrison, will remain in place during the transition process to provide continuity and oversee implementation of the system’s long-term strategy.
